Terms of Service

If you do not agree to these Terms, do not use the Services. We may update these Terms from time to time as described in Section 10; continued use of a Service after an update takes effect means you accept the revised Terms.

Some Services have additional, product-specific terms (a "Product Addendum") — for example, the plans, billing cadence, and fair-use limits for a particular SaaS product. Where a Product Addendum conflicts with these Terms for that product, the Product Addendum controls.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to provide accurate account and billing information and to keep it up to date. Notify us promptly at agus@dizenz.com if you suspect unauthorized use of your account.

Where a Service is offered under a subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use that Service during your subscription term, for your internal business or personal use, subject to these Terms and the applicable Product Addendum.

We reserve all rights not expressly granted. You may not sublicense, resell, or provide the Service to third parties as a standalone product, except where a Product Addendum expressly allows it (for example, a licensed white-label arrangement agreed separately in writing).

Paid Services are billed in advance on a recurring basis (monthly or annual, as selected at checkout) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method automatically at the start of each billing period until you cancel.

Subscriptions renew automatically unless cancelled before the renewal date. Fees are exclusive of taxes unless stated otherwise; where required by law, applicable sales tax, VAT, or similar levies are calculated and added at checkout.

Refunds and cancellations are governed by our Refund & Cancellation Policy.

You agree not to, and not to permit others to:

• Reverse engineer, decompile, or attempt to extract the source code of a Service, except where applicable law permits it despite this restriction.
• Use a Service to build a competing product, or to scrape, resell, or redistribute its functionality without our written consent.
• Interfere with or disrupt the integrity or performance of a Service, including by introducing malware or attempting unauthorized access.
• Use a Service to violate any applicable law, infringe any third party’s rights, or transmit unlawful, defamatory, or infringing content.
• Exceed the usage limits, seat counts, or fair-use thresholds described in the applicable Product Addendum.

We may suspend or terminate access for violations of this section, with notice where practicable.

DIZENZ and its licensors retain all right, title, and interest in and to the Services, including all software, designs, trademarks, and documentation. These Terms do not grant you any rights to our trademarks or branding except as needed to identify that you use a Service.

You retain ownership of the content, data, and materials you submit to a Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide the Service to you, consistent with our Privacy Policy and, where applicable, our Data Processing Addendum.

You may stop using a Service and cancel your subscription at any time through the Service’s account settings or by contacting us. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within a reasonable period after notice, or immediately for serious violations (fraud, security threats, or unlawful use).

Upon termination, your right to use the Service ends. Sections that by their nature should survive termination — including Intellectual Property, Disclaimers and Limitation of Liability, and Governing Law — continue to apply.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIZENZ LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF A SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR A SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THAT SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

Nothing in these Terms limits liability that cannot be limited under applicable law.

These Terms are governed by the laws of Florida, United States, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Florida, and you consent to their jurisdiction, except where mandatory consumer-protection law in your country of residence requires otherwise.

We may revise these Terms to reflect changes in our Services, legal requirements, or business practices. We will post the updated Terms with a new effective date and, for material changes, provide reasonable advance notice (such as an email or an in-product notice) before they take effect.
